Your mission

• Be responsible for the legal full life cycle of Funds and entities (incorporation, administration, and liquidation of companies).
• Execute day-to-day legal and administration tasks for Funds and SPVs.
• Review and draft Board and Shareholder resolutions, Board minutes, Board packs, General Meetings, notarial deeds.
• Manage and proceed to any required filing with the RCS (Registre de Commerce et des Sociétés) and RBE (Registre des Bénéficiaires effectifs).
• Review and draft legal documents (loan agreements, etc.).
• Ensure Funds and SPVs are kept in legal good standing and maintain accurate legal records.
• Daily communication for corporate and administrative matters with third parties.

Requirements

• Fluent in both English and German.
• Minimum of 3 years of experience within a law firm or a Fund Administration Service provider.
• Eligible work permit for Luxembourg 

Your profile

Technical Skills:

• Master’s degree in law or equivalent
• Minimum of 3 years of relevant working experience in a similar role in the Luxembourg fund industry (working with alternative investment funds would be considered as advantage).
• Excellent computer skills, and in particular good knowledge of Microsoft Office packages including Excel, Word, PowerPoint and Outlook email.
• Strong knowledge of Private Equity.

Soft Skills:

• Excellent communication and organizational skills.
• Ability to handle multiple tasks simultaneously.
• Ability to work on own initiative and to be highly disciplined.
• Coming from a fast-paced work environment.
